The suspension and mass resins, which OxyVinyls manufactures fall into two categories, standard and specialty resins:

• "Standard" resins are stored in bulk at OxyVinyls plant and terminal locations.
• "Specialty" resins are all made-to-forecast and have a minimum of four week lead times.

All packaged material is classified as specialty resins, including bags, supersacks, etc.

F.O.B. point of origin, minimum transportation allowed and prepaid to destination. Customer pickups are available. CPU allowances are determined on an individual point-to-point basis.

Net 30 days from date of invoice. Statement billing on a monthly basis is available.

Railcar weights are up to 190,000 lbs., and the minimum order quantity is one railcar. Most resins are available in railcars. OxyVinyls reserves the right to limit shipments of railcars of resin to customers.

Bulk truck weights are up to 45,000 lbs. in the U.S. and up to 85,000 lbs. (38,600 kg) in Canada, based on equipment. The minimum order quantity is one truck. For standard resins, bulk truck shipments have a three day lead time from receipt of the order. Specialty resins have four week or longer lead times. Pricing and availability of standard and specialty resins in bulk trucks will be quoted on a case-by-case basis only. Pricing will include applicable setup costs, regular and premium freight and particular transfer and handling charges.

If OxyVinyls ships a bulk truck in place of a railcar:

1. OxyVinyls pays for the incremental freight and handling costs when OxyVinyls is at fault;
2. The customer pays for the incremental freight and handling costs when the customer is at fault;
3. OxyVinyls and the customer split the difference when neither or both are at fault (e.g., railroad tracks are flooded.)

All bagged material is a specialty resin. Not all resin products are available in bags. Bagged products are available in 50 lb. paper bags. Minimum order quantity is 2500 lbs. which equals one skid. Orders are taken only in full skid quantities - minimum four weeks load time on bag orders. Less-than-truckload (LTL) upcharges are always applied - see Upcharge Table below.

COMBINABILITY is filling up a trailer truck with several different OxyVinyls bagged products in order to reverse the LTL upcharges. Combinability is allowed only between OxyVinyls resin products on one SAP sales order shipped from one OxyVinyls location to one ship-to location.

Customers can enter complaints regarding products or services by contacting customer service.

No return of product will be allowed nor credit given unless previously authorized by OxyVinyls. OxyVinyls will have the option to inspect the product prior to considering its return. OxyVinyls will not accept the return of any material more than six months after the original date of shipment. All returns must be in the same condition and in the same container type as when shipped. Return of material for convenience will be considered by OxyVinyls on a case-by-case basis. In cases where OxyVinyls agrees to such a return, there will be a restocking charge totaling 20 percent of the originally invoiced value of the product.

Orders for standard resins which are canceled on or after the day of shipment are considered convenience returns and are subject to the 20 percent restocking charge. Orders for specialty resins which are canceled on or after the day of manufacture are considered convenience returns and are subject to the 20 percent restocking charge. In addition, OxyVinyls reserves the right to require the customer to purchase the materials on a take or pay basis.
